XMETHODS TERMS OF SERVICE
These terms apply to all of XMethods services that are publicly provided at
no charge , including , but not limited to web service listings, utility
services, and demonstration services.
- XMethods Services are provided to you by XMethods, Inc. under the terms
expressed in this document named XMETHODS TERMS OF SERVICE. By
using the service, you are agreeing to be bound by
these terms.
- We reserve the right to modify these Terms of Service from time to time
without notice. Please review these Terms of Service from time to time so
that you will be apprised of any changes.
- XMethods reserves the right to change or discontinue the XMethods services
at any time with or without notice to you. XMethods shall be in no way
liable for any consequence to anyone or anything which results from our
decisions regarding continuing, changing, or discontinuing this service.
Further, XMethods shall not be liable for forwarding or retrieving
documents.
- XMethods assumes no liability for any of the data which is stored through
the use of XMethods services, be it obscene, offensive, illegal, or if it is an
infringement of property rights of anyone.
- The services and clients listed on XMethods are developed by people over
whom XMethods exercises no control. XMethods does not inspect every
service and client before including them on listings. XMethods accepts
no responsibility for the operation of any service or client published by an
external party, nor makes any warranty about service and client
function. XMethods accepts no liability for any damage or loss that may
result from the usage of any service or client listed on XMethods.
- The sites linked to by XMethods are developed by people over whom XMethods
exercises no control. XMethods does not screen the sites before including
them in the list . Sites linked to by XMethods may include material that
some people find objectionable, inappropriate, or offensive. We cannot
guarantee that an XMethods listing will not contain objectionable content
and assume no responsibility for the content of any site linked to by
XMethods.
- You agree that you are the only person responsible for the security of
your account and XMethods is not.
- The XMethods Services are made available for your personal, non-commercial
use only, unless permission for commercial use has been explicitly granted
by XMethods, except for demonstration purposes, as noted below . You may not use the XMethods Services to sell a product or
service, or to increase traffic to your Web site for commercial reasons,
such as advertising sales. You may not take any feature or listing provided
by XMethods and reformat and display or mirror the XMethods home page or
results pages on your Web site. You may not "meta-search" XMethods.
If you want to make commercial use of the XMethods Services, you must enter
into an agreement with XMethods to do so in advance. Please contact
us for more information.
- You may use the XMethods Demo Services for any demonstration purposes.
If you do so, you must provide attribution to XMethods as the source for the
service. We request that you send an email to
support@xmethods.net notifying us of
which service you plan to demonstrate.
- You agree that this service comes with no warranty and is "as
is" and "as available" only. You assume all risks associated
with accepting a service of this kind. Further, XMethods expressly disclaims
every type of warranty whether implied or unimplied. Also, XMethods takes no
responsibility for damage done to your property as a result of using
XMethods services or software. Further if anyone who is an employee
or agent of XMethods makes any sort of statement, it shall not be construed
as a warranty. If superceded by your jurisdiction's law for XMethods to
exclude certain warranties, then only the exclusions allowed by law apply to
you.
- You also agree that XMethods will not be liable for any special, direct,
consequential, indirect, or incidental damages which result from use, cost,
errors, security breaches, or anything else related to the use of XMethods
services.
(If it is illegal for us to exclude certain liabilities for you because of
your legal jurisdiction, the illegal exclusions do not apply to you.)
- When using XMethods, you agree to follow U.S. laws regarding transmitting
data, and not to make illegal use of the XMethods Services or use it for
purposes which are illegal. Further, you agree not to use the Services for
transmitting vulgar, obscene, harmful, libelous, abusive, or unlawful
material. You agree not to attempt to gain access to other computer systems.
Also, you agree not to interfere with anyone else who is a member of
XMethods in their use of the XMethods services or other XMethods
products. You agree to not transmit anything over XMethods which could cause
civil liability against anyone, or break applicable international
regulations, international laws, national laws, national regulations, state
laws, state regulations, or local laws, or local regulations.
- You agree to indemnify and hold XMethods and its affiliates, officers,
stockholders, and employees harmless from any type of demand or any type of
claim which would include attorneys' fees which are reasonable, which are
made by any third party as a result of your use of the XMethods Services, be
it any type of infringement such as intellectual property or other rights,
or other users of XMethods using your computer, or an infringement of these
terms of service by you.
- You agree to be solely and completely responsible for all of your
transmissions onto and off of your XMethods, and the contents of those
transmissions. XMethods holds the right to terminate your access to the
XMethods Services at any time with or without reason, at XMethods'
discretion. At the point at which you are terminated you have no further
permission to access the XMethods Services and XMethods is not obligated to
give you access to any data which you have uploaded or inserted into
XMethods in any way.
- You must understand and agree that all textual, graphical, musical, visual
files which are in the XMethods system as well as all of XMethods's software
are protected by patents, trademarks, copyrights, service marks, and other
property rights and laws. Therefore you must have appropriate authorization
before reproducing, distributing, copying, or taking and changing any of
these contents. Further, your use of the XMethods Services must be in accord
and governed by all appropriate state, federal, local, international, and
national laws and regulations.
- If anything which is inserted into this terms of service document is found
by the appropriate legal jurisdiction and authority to be in violation of
the relevant law then the other parts of the terms of service shall be
understood as close to their original meaning as possible and the parts
which were not in violation of a law remain in full effect, and full force.
- If XMethods fails to act on any of the terms of this document it should
not be construed as a waiver of any provision unless XMethods agrees to any
such waiver in writing.
